Abstract:
his research presents a doctrinal and applied study of the legal system of the Dispute Adjudication Board as an innovative mechanism for settling international construction contract disputes in light of FIDIC contracts and Sudanese law, stemming from a fundamental problem represented by a profound gap between the international contractual reality that imposes this mechanism as a mandatory financing condition in major infrastructure projects in Sudan funded internationally under the FIDIC model and the national legislative reality suffering from a complete legislative and judicial vacuum regarding it, which has led to its practical deactivation and forced parties to resort to ordinary judiciary lacking technical expertise or to final arbitration suffering from prolonged duration and high costs, resulting in the suspension of national projects for years and waste of public funds. The scientific significance of the study lies in filling a gap in the Sudanese and Arab legal library concerning the legal characterization of the Board’s decisions and its practical significance in providing a guideline ensuring continuity of public utilities. To achieve its objectives, the researcher adopted the descriptive-analytical method to establish concepts, the historical method to trace the Board’s emergence and its justifications of loss of confidence in the Engineer’s impartiality and inadequacy of traditional arbitration, and the comparative method to assess the position of Sudanese law compared to English and Swiss jurisprudence. The study concluded that prevailing doctrinal definitions are methodologically flawed for omitting the requirement of an odd number of members as a fundamental guarantee against deadlock, that the Board is an independent legal system distinct from arbitration, expertise, and mediation, and that the sound legal characterization of its decisions is that it is a contractually binding decision with temporary effect and immediately enforceable, creating a new contractual obligation separate from the original obligation in dispute and not an arbitral award enforceable under the 1958 New York Convention, enjoying temporary res judicata that becomes final upon expiry of twenty-eight days without a notice of dissatisfaction.
The research recommends urgent legislative intervention to amend the Sudanese Arbitration Act of 2016 by adding a special chapter regulating the temporarily binding nature of the Board’s decisions and their enforceability as an interim measure before courts and arbitral tribunals, establishing a Sudanese Center for Dispute Boards to prepare a roster of experts and qualify national cadres as an appointing authority, and linking disbursement of financing tranches in national projects to proof of the Board’s constitution as a condition precedent for continued financing.

يتناول هذا البحث بالدراسة التأصيلية والتطبيقية النظام القانوني لمجلس فض المنازعات كآلية مستحدثة لتسوية منازعات عقود التشييد الدولية في ضوء عقود الفيديك والقانون السوداني، وينطلق من إشكالية جوهرية تتمثل في الفجوة العميقة بين الواقع التعاقدي الدولي الذي يفرض هذه الآلية كشرط تمويلي إلزامي في مشروعات البنية التحتية الكبرى الممولة دولياً في السودان وفق نموذج الفيديك، وبين الواقع التشريعي الوطني الذي يعاني من فراغ تشريعي وقضائي كامل إزاءها مما أدى إلى تعطيلها عملياً ولجوء الأطراف إلى القضاء العادي الذي يفتقر للتخصص الفني أو التحكيم النهائي الذي يعاني من طول الأمد وارتفاع التكلفة فيتوقف المشروع القومي لسنوات ويهدر المال العام، وتكمن أهمية الدراسة علمياً في سد ثغرة في المكتبة القانونية السودانية والعربية حول التكييف القانوني لقرارات المجلس وعملياً في تقديم دليل إرشادي يضمن استمرارية المرافق العامة.
وقد اعتمد الباحث لتحقيق أهدافه المنهج الوصفي التحليلي لتأصيل المفاهيم والمنهج التاريخي لتتبع نشأة المجلس ومبرراته المتمثلة في فقدان الثقة في حياد المهندس وقصور التحكيم التقليدي والمنهج المقارن لتقييم موقف القانون السوداني مقارنة بالقضاء الإنجليزي والسويسري، وخلص البحث إلى أن التعريفات الفقهية السائدة شابها قصور منهجي بإغفالها شرط الفردية في تشكيل المجلس كضمانة جوهرية لعدم إصابته بالشلل، وأن المجلس نظام قانوني مستقل بذاته يختلف جوهرياً عن التحكيم والخبرة والوساطة، وأن التكييف القانوني الراجح لقراراته هو أنه قرار تعاقدي ملزم مؤقتاً وواجب النفاذ فوراً يخلق التزاماً تعاقدياً جديداً منفصلاً عن الالتزام الأصلي محل النزاع وليس حكماً تحكيمياً قابلاً للتنفيذ وفق اتفاقية نيويورك لسنة 1958م، وأنه يتمتع بحجية مؤقتة تتحول إلى نهائية بانقضاء ميعاد ثمانية وعشرين يوماً دون إبداء عدم الرضا، وأوصى البحث بضرورة التدخل التشريعي العاجل لتعديل قانون التحكيم السوداني لسنة 2016م بإضافة فصل خاص ينظم الطبيعة الإلزامية المؤقتة لقرارات المجلس وقابليتها للتنفيذ كتدبير وقتي أمام القضاء وهيئة التحكيم، وإنشاء مركز سوداني لمجالس فض المنازعات يتولى إعداد قائمة بالخبراء وتأهيل الكوادر الوطنية ويكون جهة التعيين الاحتياطية، وربط صرف دفعات التمويل في المشروعات القومية بإثبات تشكيل المجلس كشرط واقف لاستمرار التمويل.
